Transaero Airlines Annual General Shareholder Meeting Results

Transaero-AirlinesTransaero Airlines’ Annual General Shareholder Meeting took place.

Shareholders and their representatives, owning a total of 80.24% of shares, took part in the meeting which was marked by an active involvement of minority shareholders.

The shareholders unanimously approved the 2013 annual report. During the reporting period the company achieved record results.

 

Transaero passenger turnover amounted to 47 billion RPK, a 15% increase over 2012. The airline transported 12.5 million passengers, which is 21% more than the previous year.

 

Transaero delivered 69.7 tonnes of cargo, a 6% increase over 2012, with tonne-kilometers amounting to 4.6 billion tkm, representing a 14% increase over 2012.

Alexander Pleshakov, Chairman of the Board of Directors, highlighted that in 2013 Transaero became the first Russian airline to be recognized as the World’s Most Improved Airline at the prestigious Skytrax World Airline Awards.

 

He also noted that Transaero started its discounted operations programme, which is in line with one of its key objectives: increasing availability of air travel.

 

Under this programme flights on 31 regular routes are performed daily.

The programme’s services are used by 40,000 passengers on average a week.

The meeting’s participants unanimously approved the company’s financial accounts. In 2013, Transaero’s revenue increased to 110.15 billion rubles, which is a 13% increase over 2012.

 

Revenue from air operations amounted to 104.7%, 16% more than in 2012. Net income increased to 1.03 billion rubles, a 14% growth over 2012.

 

For the first time in the past three years the company’s debt burden, according to IFRS, reduced.

Growth of the share’s price and capitalization in 2013 was 10.7%, in Q1 2014 was 19.35%.

The Transaero Airlines’ shareholder meeting decided to pay dividends in amount of 138.5 million rubles – 90 kopecks for each share. In 2012, 90.8 million rubles were allocated for dividends distribution with 59 kopecks paid for each share.

879 million rubles were allocated to redeem uncovered loss in past years. 12 million rubles will be transferred to the Consumption and Development Fund of the company.

 

By means of this fund Transaero Airlines performs its charitable activities and offers additional social support to employees.

The Transaero Airlines’ Annual Shareholders Meeting elected seven members of the Board of Directors: Tatiana Anodina, Evgeny Borodin, Gennady Zaitsev, Gagik Zakaryan, Alexander Pleshakov, Olga Pleshakova, Boris Shubnikov.

The meeting approved three candidates to be members of the company’s Revision Commission.

RSM RUS was chosen as the official auditor of Transaero Airlines.
